These Terms of Use ("Terms") govern your access to and use of the Ellipsis Elite Performance ("Ellipsis", "we", "us") website and services, including the Ellipsis Performance Index (EPI^™), Ellipsis AI Coach^™, Ellipsis Intelligence, Performance Tech, and the Member Portal (collectively, the "Services"). By using the Services, you agree to these Terms.

1) Eligibility & Account

You must be at least 16 to use the Services. Some features may require creating an account and providing accurate, up-to-date information. You are responsible for safeguarding your credentials and for activity under your account.

2) Use of the Services

• EPI^™ & 4D System^™. The EPI^™ is an informational readiness indicator derived from self-reported inputs and heuristics. It is not medical advice and should not replace professional guidance.
• Ellipsis AI Coach^™. An AI-powered performance agent providing personalized guidance based on your EPI^™ and 4D System^™ data. Recommendations are informational and not a substitute for professional coaching or medical advice.
• Ellipsis Intelligence. Research notes, frameworks, and guidance are for informational purposes. Implementation is at your discretion.
• Performance Tech. Reviews are independent and brand-agnostic at time of publication.
• Membership. Details, deliverables, and pricing are defined in applicable proposals, order forms, or membership agreements.

3) Acceptable Use

• No unlawful, infringing, misleading, or harmful activity.
• No scraping, reverse engineering, or automated access outside public APIs or documented use.
• No unauthorized use of Ellipsis branding, trademarks, or content.

4) Intellectual Property & Trademarks

The Services, including the 4D System^™, EPI^™, EPI Assessment^™, Ellipsis AI Coach^™, The rising Ellipsis, The rising 3 dots logo, Ellipsis Intelligence, designs, logos, text, graphics, and software, are protected by intellectual property laws and are owned or licensed by Ellipsis. All trademarks, service marks, and trade names are proprietary to Ellipsis Elite Performance. Except as expressly permitted, you may not copy, modify, distribute, or create derivative works.

Trademarks

The following are trademarks of Ellipsis Elite Performance: Ellipsis, Ellipsis Elite Performance, 4D System^™, EPI^™, EPI Assessment^™, Ellipsis AI Coach^™, The Diagonal Ellipsis, The Diagonal Three Dots, The Rising 3 Dots, and The Rising Ellipsis. You may reference these names to describe our products and services (nominative fair use), but you may not use them in a manner that suggests sponsorship, endorsement, or affiliation without prior written permission. Our visual marks, including the diagonal and rising ellipsis logos, are protected assets and may not be copied, modified, or used in any visual identity without consent.

5) Third-Party Services

We may use third-party providers (e.g., form processors, hosting, analytics). Your use of such services may be subject to their terms and policies. We are not responsible for third-party websites or services.

6) Privacy

Our Privacy Policy explains how we collect and use personal data. By using the Services, you consent to those practices.

7) Disclaimers

The Services are provided "as is" and "as available." To the fullest extent permitted by law, Ellipsis disclaims all warranties, express or implied, including fitness for a particular purpose and non-infringement. We do not warrant that the Services will be uninterrupted, accurate, or error-free.

8) Limitation of Liability

To the fullest extent permitted by law, Ellipsis and its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or loss of profits, data, or goodwill, arising from or related to your use of the Services.

9) Indemnity

You agree to indemnify and hold Ellipsis harmless from any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or related to your use of the Services or violation of these Terms.

10) Changes to the Services & Terms

We may modify or discontinue features at any time. We may update these Terms; continued use after changes constitutes acceptance. The "Effective date" above reflects the latest update.

11) Suspension & Termination

We may suspend or terminate access if you violate these Terms or if necessary for security, legal, or operational reasons. Upon termination, provisions intended to survive (e.g., IP, disclaimers, liability limits) will remain in effect.

12) Governing Law

These Terms are governed by the laws of England and Wales, without regard to conflict of laws principles. Courts of England and Wales shall have exclusive jurisdiction, except where applicable law provides otherwise.
